1. Agreement to Terms

By accessing or using the services provided by Fanari Labs ("we", "our", or "us"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our services.

2. Description of Services

Fanari Labs provides AI development services, including but not limited to:

  • Custom AI agent development
  • AI integrated website development
  • Agentic automation solutions
  • Digital consulting services
  • Web development and design

3. Service Terms

3.1 Project Engagement

All projects begin with a discovery phase to determine scope, timeline, and pricing. Fixed quotes are provided after this discovery phase. Both parties must agree to the scope in writing before work commences.

3.2 Payment Terms

  • Prices are quoted in Euros (EUR) unless otherwise specified
  • Payment schedules are defined in individual project agreements
  • Typical payment structure: 50% upfront, 50% upon completion
  • Monthly care plans may be offered for ongoing services
  • Late payments may incur additional fees

3.3 Delivery and Timeline

We provide estimated timelines for each project. While we strive to meet all deadlines, timelines may be adjusted if:

  • Client feedback or materials are delayed
  • Scope changes are requested
  • Technical challenges arise
  • Force majeure events occur

4. Intellectual Property

4.1 Client Ownership

Upon full payment, you own the final deliverables created specifically for your project, including:

  • Custom code developed for your project
  • Design assets created for your brand
  • Custom AI models trained on your data

4.2 Fanari Labs Rights

We retain ownership of:

  • Pre-existing code libraries and frameworks
  • Development tools and methodologies
  • Generic AI models and algorithms
  • Portfolio rights to showcase completed work

5. Client Responsibilities

Clients agree to:

  • Provide timely feedback and required materials
  • Ensure they have rights to any content they provide
  • Make timely payments as agreed
  • Respond to communications within reasonable timeframes
  • Comply with all applicable laws and regulations

6. Revisions and Changes

Each project includes a defined number of revision rounds. Additional revisions or scope changes beyond the agreed terms may incur additional fees. We will provide estimates for any additional work before proceeding.

7. Warranties and Disclaimers

7.1 Our Warranties

We warrant that:

  • Services will be performed with professional skill and care
  • Deliverables will substantially conform to agreed specifications
  • We will use industry standard security practices

7.2 Disclaimers

Except as expressly stated:

  • Services are provided "as is" without warranty of any kind
  • We do not guarantee specific business outcomes
  • AI systems may have limitations and require ongoing refinement
  • Website performance depends on factors outside our control

8. Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability shall not exceed the amount paid for the specific service
  • We are not liable for indirect, consequential, or special damages
  • We are not liable for losses due to third-party services or platforms
  • Clients are responsible for maintaining backups of their data

9. Confidentiality

Both parties agree to:

  • Keep confidential information private
  • Use confidential information only for the project purposes
  • Not disclose sensitive business information without consent
  • Return or destroy confidential materials upon request

10. Termination

10.1 Termination by Client

Clients may terminate a project with written notice. Upon termination:

  • Payment is due for all work completed to date
  • Client receives work completed up to termination point
  • Upfront payments are non-refundable

10.2 Termination by Fanari Labs

We may terminate services if:

  • Payment terms are breached
  • Client materially breaches these terms
  • Project becomes technically or legally unfeasible

11. Indemnification

Clients agree to indemnify Fanari Labs against claims arising from:

  • Client-provided content or materials
  • Misuse of delivered services or products
  • Violations of third-party rights
  • Breach of these terms

12. Dispute Resolution

Any disputes shall be resolved through:

  • First, good faith negotiations between parties
  • Then, mediation if negotiations fail
  • Finally, arbitration or legal proceedings as appropriate

These terms shall be governed by the laws of Turkey, with consideration for international client locations.

13. Force Majeure

Neither party shall be liable for delays or failures due to circumstances beyond reasonable control, including natural disasters, war, strikes, or technical failures of third-party services.

14. Third-Party Services

Our services may integrate with third-party platforms (APIs, hosting, AI services). We are not responsible for changes, failures, or costs associated with third-party services. Clients are responsible for maintaining necessary accounts and subscriptions.

15. Modifications to Terms

We reserve the right to modify these terms at any time. Continued use of our services after changes constitutes acceptance of the new terms. We will notify clients of significant changes.

16. Severability

If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full effect.

17. Entire Agreement

These Terms of Service, along with any project-specific agreements, constitute the entire agreement between you and Fanari Labs regarding our services.
